Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between Teylo AI ("Teylo", "we", "us", or "our") and you ("User", "you", or "your"). By accessing or using our AI-powered game development platform at teylo.ai (the "Platform") and any related services (collectively, the "Services"), you agree to be bound by these Terms.

The Platform enables users to create Godot 4 games through natural language prompts and AI-assisted development. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We may revise these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

2. Eligibility and Accounts

2.1 Age Requirements

You must be at least 13 years old (or 16 in the European Union) to use the Services. Users under 18 must have parental consent to use the Services.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach
• Not create multiple accounts to circumvent restrictions

2.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Harm or attempt to harm the Platform or other users
• Remain inactive for extended periods

3. Services and Credits

3.1 Credits System

The Platform operates on a credits-based system:

• New accounts receive 20 credits to start
• Game generation and modification consume credits based on AI usage
• Credit costs vary depending on the complexity of the operation

Credits are a measurement of Service usage only. Credits have no cash value, are not legal tender or a stored-value account, are non-transferable, and cannot be redeemed for money. Unused credits do not roll over between billing periods.

3.2 Service Modifications

We may modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice for material changes.

4. Acceptable Use

4.1 Permitted Use

You may use the Services to:

• Create, develop, and export games for personal or commercial use
• Learn game development through AI assistance
• Share your games via direct links

4.2 Prohibited Use

You may NOT use the Services to:

• Create content that violates any laws or regulations
• Generate games containing hate speech, gratuitous or unlawful violence, or discriminatory content
• Infringe on intellectual property rights of others
• Create malware, viruses, or harmful code
• Attempt to reverse engineer or hack the Platform
• Resell or redistribute the Services without authorization
• Overload our systems with automated requests
• Impersonate others or create misleading content
• Create adult content or content inappropriate for minors

4.3 Enforcement

Violations may result in warnings, content removal, account suspension, or termination. We reserve the right to remove any content that violates these Terms.

5. Intellectual Property

5.1 Your Content

• You retain ownership of original content you create
• You grant Teylo a license to use your content to provide the Services
• This license includes the right to store, display, and process your content
• We do not train AI models. Your prompts are processed by third-party AI services to generate game code, subject to those providers' policies

5.2 Generated Games

• You own the games you create using the Platform
• You may use generated games for any legal purpose, including commercial use
• You are responsible for ensuring your games don't infringe on others' rights

5.3 Platform Content

• Teylo owns all rights to the Platform, including its design, features, and functionality
• Our trademarks, logos, and branding remain our property
• You may not copy, modify, or create derivative works of the Platform

5.4 CC0 Assets

The Platform may use CC0 (Creative Commons Zero) licensed assets in game generation. These assets are in the public domain and free for any use. You are responsible for verifying the licensing status of any third-party assets in your games.

5.5 Feedback

Any feedback, suggestions, or ideas you provide become the property of Teylo and may be used without compensation or attribution.

6. AI-Generated Content

6.1 Nature of AI Generation

• Games are generated using AI technology based on your prompts
• Results may vary and are not guaranteed to meet specific requirements
• AI may occasionally produce unexpected or imperfect results

6.2 Your Responsibilities

• Review and test all generated content before use
• Ensure generated games comply with applicable laws
• Verify that generated content doesn't infringe on third-party rights
• Take responsibility for the final products you create and distribute

6.3 No Warranty

AI-generated content is provided "as is" without warranties of any kind. We do not guarantee that generated games will be error-free, complete, or suitable for any particular purpose.

7. Data Storage and Game Persistence

7.1 Storage Limits

• Games are stored while your account is active
• Exported games are yours to store independently

7.2 Data Backup

• We and/or our service providers may maintain backups as part of normal operations, but we do not guarantee backup availability
• You are responsible for backing up important projects
• We recommend regularly exporting your games

7.3 Account Closure

When you delete your account, we delete your profile, games, prompts, and chat history from our systems promptly. We may retain limited records where required by law or for legitimate business purposes (such as tax/accounting, fraud prevention, and dispute resolution). Deleted data may persist in backups for a limited period. Our payment processor (Lemon Squeezy) retains its own billing records under its policies. Export your games before deleting your account.

8. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

9.1 Merchant of Record

Payments for Teylo AI subscriptions are processed by Lemon Squeezy (Lemon Squeezy, LLC), which acts as our Merchant of Record. Lemon Squeezy handles all payment processing, sales tax/VAT collection, and billing inquiries. By purchasing a subscription, you also agree to Lemon Squeezy's Terms of Service.

9.2 Credits and AI Usage

Teylo operates on a credits-based system where credits represent AI computational resources:

• Credits are consumed when you interact with our AI services (game generation, modifications, etc.)
• Credit consumption varies based on the complexity of your request and AI resources used
• Each credit consumed represents real costs including AI model tokens, compute resources, and data storage
• New accounts receive 20 free credits to test the Service before purchasing

9.3 Subscription Plans

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Your subscription automatically renews at the end of each billing period
• Credits included in your plan are granted at the start of each billing period
• Unused credits do not roll over to the next billing period

9.4 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription remains active until the end of your current billing period
• You retain access to all paid features until the billing period ends
• After the billing period ends, your account will revert to the free tier
• Your games and projects will be preserved according to our data retention policy
• No refunds will be issued for the remaining time in your billing period

9.5 Refund Policy

All fees are non-cancelable and non-refundable. For the avoidance of doubt, these Terms do not override any mandatory local laws regarding your cancellation rights.

Credits represent AI computational resources that are consumed upon use. When you use credits, we incur immediate costs for AI processing, compute resources, and data storage. These costs cannot be recovered, and therefore used credits cannot be refunded.

We provide 20 free credits to all new users specifically so you can evaluate the Service before making a purchase. We encourage you to use these trial credits to ensure Teylo meets your needs before subscribing.

By purchasing, you expressly request immediate access to the Services and acknowledge that you may lose your right of withdrawal once performance begins (e.g., credits are used), to the extent permitted by applicable law.

Refund exceptions may be made at our sole discretion for:

• Duplicate charges due to technical errors
• Charges made after successful cancellation (processing errors)
• Where required by applicable law

9.6 Price Changes

We reserve the right to modify subscription prices. Any price changes will be communicated at least 30 days before taking effect and will apply to your next billing period after the change.

9.8 External Links

The Platform may contain links to third-party websites or services. We are not responsible for their content, practices, or policies.

10. Disclaimers and Limitations

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEYLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10.3 Maximum Liability

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10.4 Essential Purpose

These limitations apply even if Teylo has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless Teylo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your generated games and their distribution
• Any claim that your content infringes on intellectual property rights

12. Dispute Resolution

12.1 Informal Resolution

Please contact us at support@teylo.ai to try to resolve any dispute informally before pursuing formal proceedings.

12.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Except where prohibited by applicable law, any dispute shall be brought in the competent courts located in Tel Aviv, Israel.

Nothing in these Terms limits any consumer rights you may have under mandatory local law.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

• Email notification to registered users
• Prominent notice on the Platform
• Update of the "Last Updated" date

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teylo regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
